Terms of Service

1. Acceptance of Terms

By accessing or using the LabSync-Plus website (labsyncplus.com), the lab console (labs.labsyncplus.com), the patient portal (patients.labsyncplus.com), or the LabSync-Plus mobile application (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

2. Service Description

LabSync-Plus is a cloud-based, multi-tenant SaaS platform designed for medical laboratories. The Platform provides tools for patient registration, sample tracking, investigation management, result management, report generation, business analytics, and patient communication. Our Platform serves two primary user groups:

  • Laboratory Personnel ("Lab Users") — Staff of subscribing laboratories who operate the Platform through the lab console at labs.labsyncplus.com.
  • Patients — Individuals whose records are managed by laboratories on the Platform and who may access their reports through the patient portal or mobile application.

3. Account Registration and Access

3.1 Laboratory Tenants

LabSync-Plus operates on an invitation-only model for laboratories. A prospective Tenant Administrator must request access from our team. Upon approval, we will create a new tenant (laboratory workspace) and assign the designated Tenant Administrator. There is no self-service sign-up for laboratory accounts.

3.2 Lab User Accounts

Tenant Administrators may create user accounts within their tenant for the following roles: Branch Manager, Technician, and Receptionist. All Lab Users are required to configure time-based one-time password (TOTP) multi-factor authentication at first sign-in. Lab Users are responsible for:

  • Maintaining the confidentiality of their account credentials and MFA device
  • All activities that occur under their account
  • Providing accurate and complete information
  • Complying with all applicable laws and regulations in their jurisdiction

3.3 Patient Access

Patients may access the patient portal (patients.labsyncplus.com) using phone number verification via SMS one-time password (OTP). To prevent misuse, the patient portal imposes the following limits per 24-hour period:

  • A maximum of five (5) successful report downloads
  • A maximum of three (3) failed verification attempts

The LabSync-Plus mobile application (when available) will require multi-factor authentication and will provide access to reports across all laboratories the patient has visited on the Platform.

4. Payment Terms

4.1 Commission-Based Pricing

LabSync-Plus operates on a commission-based pricing model. The commission rate is determined by the laboratory's selected subscription plan tier and is calculated on the revenue processed through the Platform.

4.2 SMS Charges

Each subscription plan includes an allocated quota of free SMS messages. If a laboratory exceeds its allocated quota, an additional charge of Rs. 1.50 per SMS will be applied.

4.3 Billing Cycle

Billing is processed on the 26th of each month. Each billing cycle covers the revenue earned between 00:00 on the 26th of the previous month and 23:59 on the 25th of the current month. Charges will be applied to the payment card on file. The Tenant Administrator will receive a detailed receipt for each billing cycle.

4.4 Payment Failure

If a payment fails on the scheduled billing date:

  • All users within the tenant will see a warning banner on the lab console indicating that the service may be suspended.
  • We will reattempt the charge at approximately 24-hour intervals, for a total of up to four (4) attempts over a 72-hour period.
  • If all four attempts fail, the tenant will be suspended, and all laboratory operations will be restricted until outstanding payments are settled.
  • During suspension, the patient portal and patient mobile application will remain accessible to patients; however, patients will see a notice indicating that the laboratory's services are temporarily unavailable.

4.5 Outstanding Obligations

Tenant Administrators are responsible for ensuring that all account balances are settled. LabSync-Plus reserves the right to pursue all available legal remedies to recover unpaid amounts.

5. Subscription Management

5.1 Upgrades

Subscription plan upgrades take effect immediately. The new plan's commission rate and resource allocations will apply from the date of the upgrade.

5.2 Downgrades

Subscription downgrades take effect at the start of the next billing cycle. If the tenant's current resource usage exceeds the limits of the target plan, we will work with the Tenant Administrator to reduce usage to fit within the new plan's allocations before the downgrade is applied.

5.3 Cancellation

A tenant may cancel its subscription and leave the Platform at any time, provided that all outstanding payments are settled in full. Upon cancellation:

  • Laboratory operations through the lab console will cease.
  • Patients will continue to have access to their medical reports through the patient portal and mobile application for a minimum of three (3) months.
  • Patients will be notified that the laboratory is no longer active on the Platform and will be encouraged to download their data during the retention period.
  • After the three-month retention period, LabSync-Plus reserves the right to delete the tenant's data to free up resources or for other operational reasons.

6. Data Ownership

You retain full ownership of all data you input into the Platform, including patient data, investigation results, laboratory reports, and business records. We do not claim ownership of your data. We process your data solely to provide and improve the Platform as described in our Privacy Policy.

We do not sell medical data, use medical records to train artificial intelligence or machine learning models, or sell patient personal information under any circumstances.

7. Acceptable Use Policy

All users of the Platform must act in good faith and use the Platform in a lawful, responsible manner. You agree not to:

  • Use the Platform for any unlawful, fraudulent, or malicious purpose
  • Attempt to gain unauthorised access to any part of the Platform, other user accounts, or underlying systems and infrastructure
  • Interfere with, disrupt, or place an unreasonable burden on the Platform or its infrastructure
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Platform
  • Share account credentials with unauthorised persons or allow others to use your account
  • Submit false, misleading, or fraudulent data into the Platform
  • Use the Platform in any manner that could cause harm to LabSync-Plus, other users, patients, or any third party
  • Use automated scripts, bots, or other tools to access or interact with the Platform without our prior written consent
  • Misuse the notification system (SMS, email, or WhatsApp) to send unsolicited or inappropriate communications to patients

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice.

8. Intellectual Property

The Platform, including its software, design, logos, trademarks, documentation, and all related intellectual property, is and remains the exclusive property of LabSync-Plus. These Terms do not grant you any right, title, or interest in our intellectual property except for the limited right to use the Platform in accordance with these Terms.

9. Service Availability

We strive to maintain high availability of the Platform. However, we do not guarantee uninterrupted or error-free access. Scheduled maintenance, updates, and unforeseen circumstances may result in temporary unavailability. We will make reasonable efforts to notify users of planned downtime in advance.

10. Medical Disclaimer

LabSync-Plus is a laboratory management and reporting tool. The Platform does not provide medical advice, diagnosis, or treatment recommendations. All clinical and medical decisions must be made by qualified healthcare professionals. LabSync-Plus shall not be held liable for any medical decisions made based on data processed through the Platform.

11. Limitation of Liability

To the maximum extent permitted by applicable law, LabSync-Plus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, whether incurred directly or indirectly, arising from your use of or inability to use the Platform.

Our total cumulative liability to you for any and all claims arising from or related to these Terms or the Platform shall not exceed the total fees paid by you to LabSync-Plus in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless LabSync-Plus, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) any data you submit to the Platform.

13. Termination

We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or fails to meet payment obligations, with or without prior notice depending on the severity of the violation.

You may terminate your use of the Platform at any time by contacting our support team. Laboratory tenants must settle all outstanding payments before termination is finalised (see Section 5.3).

14. Force Majeure

LabSync-Plus shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or telecommunications failures, cyberattacks, pandemics, or utility outages.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the exclusive jurisdiction of the courts of Sri Lanka.

16. Changes to Terms

We may update these Terms from time to time. We will notify users of material changes via email or through the Platform at least thirty (30) days before the changes take effect. Continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the changes.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
